HEIJMANS SECURES ´PRIORITY PACKAGE F´

’s-Hertogenbosch, June 28 2010 – After earlier awarding Heijmans the contract for Priority Packages E and C, the Directorate-General for Public Works and Water Management has also awarded Heijmans Priority Package F, consisting the widening of pieces of the A2 and A12 motorway as well. This is the contract for the design of three road-widening projects in the middle of the Netherlands. The total tendering amount for the engineering and realization phases is more than €81 million.

The Directorate-General for Public Works and Water Management has used its innovative tendering approach with the primary aim of obtaining a high-quality proposal. Heijmans emerged as the best tendering party on the basis of the scores for price and quality.

The tendering amount and the qualitative part were based on an integrated approach developed by Heijmans.

Priority Package F consists of three sub-projects: the widening of the A12 motorway between Gouda and Woerden, the same motorway between Woerden and Oudenrijn and the widening of the A2 motorway between the Oudenrijn intersection and Everdingen. The associated technical systems will also be modified in all three projects.

HEIJMANS TO DESIGN RUSH-HOUR LANES FOR UITGEEST – ALKMAAR A9 MOTORWAY

‘s-Hertogenbosch – Heijmans has been awarded a contract by the Directorate-General for Public Works and Water Management for the design of two rush-hour lanes for the A9 motorway. The project involves an approximately 10 km stretch between the cities of Uitgeest and Alkmaar, including the construction of emergency lay-bys and the modification of civil works. The work is designated as Priority Package C and is part of the priority legislation introduced by the Dutch government to combat traffic congestion by accelerating the construction of road widening projects.

If everything goes according to plan, Heijmans will also be awarded the contract for the realization of the road upgrades, upon the completion of the planning process. The total tendering amount for the engineering and realization phases is € 23.9 million.

Heijmans was ultimately awarded the contract on the basis of price and quality. It obtained the best score in part due to the high rating it received for the quality aspect. Based on this innovative tendering approach, the Directorate-General for Public Works and Water Management primarily focused on obtaining a high-quality proposal.

The tendering amount and the qualitative portion were based on an integrated approach developed by Heijmans Infrastructure Integrated Projects (HIGP) with contributions from all disciplines within Heijmans Infrastructure. HIGP will manage the design and execution, thus ensuring an integrated approach.

HEIJMANS ON TRACK IN SPITE OF DIFFICULT MARKET CONDITIONS

Improved results on lower revenues

Update on business developments

  • Improved operating results by a lower revenue level under difficult market conditions;
  • Revenues and operating result negatively impacted by extended period of freezing weather;
  • Sale of homes realized by Property Development above first quarter prior year, housing market remains uncertain;
  • Order book at the end of March 2010 virtually equal to the order book as per year-end 2009.

Gerrit Witzel, Chairman of the Heijmans Executive Board: “In spite of the extended period of freezing weather, I am not dissatisfied with business developments to date. The market is difficult, but our operational performance continues to recover and the net debt position shows a favourable trend. We are well on track.”

General developments in the first months of 2010
Within the construction industry, the first months in a year are generally the weakest months in comparison to the remaining periods, because of seasonal patterns. This is due to cautious customer demand and dependence on weather conditions. The extended freezing weather negatively impacted revenues as well as the operating result in the first months of 2010. By taking effective measures, major works generally stayed on track. The negative impact from the weather is expected to be largely offset by higher production in the remaining months of the year.

Revenues in the first months of 2010 in the Netherlands as well as internationally, lagged behind revenues in the same period of 2009. Revenues in the Netherlands declined primarily in the Property Development, Residential Building and Infrastructure sectors. Revenues declined in Belgium and Germany, in particular in the road building operations.

The Heijmans order book at 31 March 2010 stayed virtually the same in comparison to the end of December 2009.

At a lower level of revenues, the operating result in the first months of 2010 clearly improved in comparison to the same period in 2009, even when the 2009 costs of the organizational restructuring in the relevant period are not taking into consideration. Due to the measures implemented in preceding periods, improvements are evident in the first months of 2010, in spite of the difficult market conditions. Particularly the Netherlands Infrastructure and Building Activities performed better. Furthermore, the improved project controls had a favourable impact. No improvements were visible in the results of Property Development.

Organizational restructuring
The organization has been drastically restructured in 2009 as a result of the turnaround initiated at the end of 2008, to implement the emphasis on a policy of margin over volume and to anticipate on lower revenue levels due to the economic crisis. The measures taken in 2009, which to a limited extent remain to be completed in 2010, are proceeding according to plan.

Financial position
Heijmans is focused on further reducing its net debt position. The net debt position developed relative favourable in the first months of 2010 as well.

In terms of seasonal patterns, in the construction industry there is generally an increase in capital requirements during the initial months of the year. This increase in 2010 is up to now less than projected for Heijmans, in part due to improved payment conditions and a stringent inventory policy. Furthermore, investments are limited.

The balance sheet position of the inventory held by Heijmans Property Development remained virtually unchanged up to this point in 2010. The number of unsold homes under construction declined by approximately 150 in comparison to the beginning of the year (560). The number of unsold completed homes remained at the same level (80). The capital employed in land positions remained virtually unchanged.

The company’s solvency (year-end 2009: 27%) remained sound in the first months of 2010.

Revenues and order book

Netherlands
Property Development continues to be severely impacted by poor housing market conditions, although there were some signs of recovery in the first months of 2010: with 245 homes sold in the period January – March 2010 compared to approximately 70 homes sold in the same period in 2009, there are clear positive signals. Furthermore, a relatively higher number of homes were sold in the higher end segment. However, there is as yet no evidence of a persistent upward trend. For a further recovery of the housing market it is important for consumer confidence to improve and for the economic recovery to persist.

Property Development and Residential Building revenues declined in the first months of 2010 due to projects deferred in 2009, as well as the extended period of freezing weather at the beginning of 2010.

The revenues realized by Road Building operations lagged behind those of the previous year due to the freezing weather. Non-residential Building revenues remained stable, while Technical Services revenues declined somehow.

The Heijmans order book in the Netherlands at 31 March 2010 declined slightly in comparison to 31 December 2009. Infrastructure´s order book exhibited an increase due to lower production on the one hand and a solid inflow of new orders on the other hand. Residential Building and Non-residential Building reported a decline. The order intake in Property Development and Technical Services was virtually the same as the realized production.

International
The revenues generated by foreign operations declined, partly as a consequence of the sale of rail company Heitkamp, in the first months of 2010 in comparison to the same period in 2009. In Belgium and Germany. The revenues of particularly the infrastructure activities were negatively impacted by the poor weather conditions. Revenues in the United Kingdom stayed virtually the same. The order book in Belgium declined, while the order books in the United Kingdom and Germany rose. The road-building order book in Germany rose, while the Non-Residential order book remained at a depressed level.

BUILDING CONTRACT SIGNED WITH MEANDER MEDISCH CENTRUM

On Wednesday 12 May, Meander Medisch Centrum signed a building contract with the executing parties for the construction of Meander Medisch Centrum´s new hospital in Amersfoort, the Netherlands. Construction will start this summer and will be realized by Heijmans Utiliteitsbouw BV, Ballast Nedam Bouw Speciale Projecten and Burgers Ergon. The hospital along the Maatweg road replaces the two existing sites: Amersfoort Lichtenberg and Amersfoort Elisabeth. The new hospital will go into operation in 2013.

The building contract is the follow up to the settlement agreement signed on 13 January 2010. The contract value is € 181.1 million. A consortium comprising the Rabobank, ING and BNG is prepared to finance the new development.

The new hospital
In the new hospital, Meander Medisch Centrum will be able to receive its patients and visitors in a comfortable and customer-friendly environment. Patients and visitors will have a direct view of the green surroundings and the Eem River. The hospital has been designed such that it is easy for patients and visitors to find their way. It consists of different building elements: a wing for intensive care, such as emergency assistance, operating rooms and research departments, a hotel wing that houses the nursing departments and a policlinic for visiting hours. The buildings are linked via an extensive roofed-in public area. A psychiatric centre will be developed on the side of the Eem. A parking level with sufficient parking spaces will be built under the hospital. Sustainability is a key principle in the construction of the new hospital. The new development will provide Meander Medisch Centrum with even greater opportunities for expanding its status as an expert top clinical teaching hospital.

Collaboration
The hospital’s design was developed by Atelier PRO architects in The Hague. Aronsohn in Rotterdam is the principal engineer. Heijmans Utiliteitsbouw BV was selected for the complete hospital and is responsible for its realization. Burgers Ergon has been involved since the beginning as a subsidiary. It is responsible for detailing the design, engineering and realization of the complete building installations. To construct the hospital, Heijmans has set up a general partnership that in addition to Heijmans Utiliteitsbouw BV and Burgers Ergon also includes Ballast Nedam Bouw Speciale Projecten, each with a one third interest. This provides for an optimal integral approach and bundling of knowledge. The total surface area of the new Meander Medisch Centrum is 113,000 m2 GFA (gross floor area), including the parking level under the building.

HEIJMANS N.V. ANNOUNCES APPOINTMENTS

‘s-Hertogenbosch, 28 April 2010 – The Annual General Meeting of Shareholders (AGM) approved the appointment of Rob van Gelder and Pamela Boumeester to the Supervisory Board. Gerrit Witzel today succeeds Rob van Gelder as Chairman of the Executive Board of Heijmans. The Supervisory Board today officially appointed Bert van der Els as a member of the Executive Board.

Executive Board/Executive Committee
Effective 1 July 2008, Rob van Gelder (64) became Chairman of the Executive Board. As agreed in 2008, he is now retiring. Effective 1 July 2010, he will join the Supervisory Board of Heijmans. Gerrit Witzel (58) became Vice Chairman of the Executive Board on 1 October 2008 and effective today succeeds Rob van Gelder.

During the AGM, the Supervisory Board explained the appointment of Bert van der Els (55) to the Executive Board. Van der Els is currently a member of the Executive Committee. The new Executive Board of Heijmans N.V. consequently currently consists of Gerrit Witzel (Chairman), Bert van der Els (Vice Chairman) and Mark van den Biggelaar (CFO).

Jan Kleijn, currently Director of Residential Building Region South, succeeds Van der Els as a member of the Executive Committee. The Executive Committee consequently comprises Ton Hillen (Property Development and Residential Building) and Jan Kleijn (Non-residential Building and Technical Services) and the previously mentioned members of the Executive Board.

Supervisory Board
With the appointment of Rob van Gelder (effective 1 July 2010) and Pamela Boumeester (effective 28 April 2010), the Supervisory Board will have filled the two vacancies that were open for appointment. Hans Bartelds (member of the Supervisory Board of Heijmans N.V. since May 1994) will step down as a member of the Supervisory Board effective 28 April 2010.

RECOVERY HEIJMANS IN SECOND HALF OF 2009

Financial position strengthened, underlying result improved

Key Points for 2009

  • Recovery of results: a € 3 million net result in the second half of 2009;
  • Net result for 2009 strongly impacted by costs of turnaround, crisis measures and refinancing;

PARTNERSHIP AGREEMENT SIGNED SIBELIUSPARK/ TALENTENCAMPUS OSS

The City of Oss and the Park&People Consortium today (5 march 2010) signed a partnership agreement for the development of a city campus situated on the Dr. Saal van Zwanenbergsingel. The project involves an investment of approximately € 100 million. The Park&People Consortium comprises the partners Heijmans Property Development (Rosmalen), Hendriks Projectontwikkeling (Oss) and the housing corporation BrabantWonen (Oss).

The partnership agreement is the outcome of an intensive tendering procedure for the Sibeliuspark and Talentencampus Oss projects. A total of 260 homes are to be developed in the Sibeliuspark, consisting of 74 subsidized rental homes and 186 privately owned homes. The Talentencampus consists of a total area covering 37,200 m2 GFA. Of this, 13,400 m2 GFA has been set aside for social property development and 23,800 m2 GFA for commercial property development.

Two projects with a common look and feel
Talentencampus OSS is a project designed to establish new links between pre-vocational secondary education, upper secondary vocational education, sports organizations and the business community, in the form of, for example teaching guidelines and work plazas. In 2006, the educational institutes Regional Training Centre De Leijgraaf and Het Hooghuis, soccer associations SV Top and FC Oss and the City of Oss took the initiative of assessing the feasibility of the Talentencampus Oss. Actual construction will occur within and near the FC Oss stadium. The key project pillars are: provide opportunities for new forms of competence-oriented learning, create teaching guidelines between pre-vocational secondary education and upper secondary vocational education and develop and stimulate contemporary, appealing answers to social problems, such as premature school dropout rates and the participation of non-working individuals.

In addition, the BrabantWonen housing corporation and the BrabantZorg organization want to establish themselves on Talentencampus Oss. For BrabantWonen this concerns the corporate business units Management, Strategy, Policy and Communication, Resources and Project Development. BrabantZorg wants to consolidate its current corporate organization units in Oss, Heesch and Veghel here.

In terms of Sibeliuspark, the project involves the redevelopment of a park-like area at the edge of the Ruwaard District that due to its current layout receives little use and has a limited identity. The objective is to transform this area into an attractive, multi-functional, socially safe and easy to manage park with newly to be developed and realised housing. Jointly with Talentencampus, Sibeliuspark will create a striking image along one of the most important entryways into the City of Oss.

    HEIJMANS TO RESTRUCTURE KAATSHEUVEL’S ‘VIBRANT TOWN HEART’

    ´s-Hertogenbosch – Heijmans is to carry out extensive restructuring of the centre of Kaatsheuvel (Loon op Zand municipality) in accordance with the ‘Bruisend Dorpshart’ (vibrant town heart) plan. The contract was signed today by the Loon op Zand municipality, WSG housing corporation and Heijmans. The integrated project will involve several Heijmans divisions (building and infrastructure). The total construction value is 40 million euros.

    The plan includes building a new social and cultural centre and a town hall with underground parking, renovation of a square and the partial demolition of the former fire station in the centre of Kaatsheuvel. Part of these historic premises will be converted to accommodate restaurant facilities. Alongside will be three residential areas with a total of 50 apartments and 38 land-based homes, for both the rental and ownership sectors. In principle there is an agreement with Casade Woondiensten, which will establish its accommodation agency alongside the town hall.

    The project will begin in March 2010 and is expected to be completed in 2014.
